Course Description
The Sarbanes-Oxley Act (SOX), enacted on July 30, 2002, was a response to major corporate scandals like Enron.
The law introduced stringent regulations aimed at preventing corporate fraud and protecting investors. Compliance with SOX is critical for public corporations, particularly in areas like payroll and internal controls.
This act places significant responsibility on boards of directors and enforces criminal penalties for misconduct.
The Securities and Exchange Commission (SEC) is tasked with developing regulations to ensure corporate compliance, and the Public Company Accounting Oversight Board (PCAOB) was established to oversee this process.
Key aspects of the SOX Act include:
-
- Banning company loans to executives
- Enforcing whistleblower protections, ensuring job security for employees reporting unlawful activities
- Stricter rules for accountants, auditors, and corporate officers
- Imposing tighter record-keeping requirements
Join this 75-minute interactive webinar led by Mark Schwartz, an employment tax specialist and payroll tax auditor with over 15 years of experience.
Mark will guide you through how SOX created new rules for payroll compliance and internal controls, along with how to avoid penalties for violating securities laws.
What You’ll Learn:
- The critical internal controls needed for SOX compliance
- Best practices for record-keeping to avoid penalties
- The role of payroll in adhering to SOX requirements
- How to protect whistleblowers and ensure compliance with reporting standards
